Startup cap table: ownership, SAFEs, vesting and round modeling, plus drafts for admin approval.

Overview

AI-generated overview

Capy's hosted MCP endpoint lets an AI assistant read a startup's cap table and draft equity changes for an admin to approve.

What you can do
  • Read cap table data: stakeholders, shares, options, SAFEs, share classes, plans, ownership and vesting.
  • Draft equity changes such as grants, option exercises, cancellations, stakeholder updates and board consents.
  • Leave every draft pending until an admin applies it in Capy.
  • Scope access per company, choosing which companies the connected app can see.
When to use it
Useful for founders and equity administrators who already keep their cap table in Capy and want an assistant to answer ownership questions or prepare draft grants and consents without editing records directly.
Requirements
Remote endpoint at capyinc.com over streamable HTTP; OAuth sign-in is required, and the user chooses which companies the app may access. No API keys or environment variables are declared.
Before you install
The connection exposes sensitive company ownership and stakeholder data to the AI app. Drafting tools can create proposed grants, exercises, cancellations and consents, though nothing changes until an admin applies the draft. Capy does not move money, file taxes or send documents for signature.

Installation

In SourceWeft

  1. Open Capy in the dashboard and add it to a workspace.
  2. Connect the required credentials. They are stored privately and never shown on public pages.
  3. Enable the server for the chats that should use its tools.

Web executable via Streamable HTTP. Remote servers run from the web runtime once configured in a workspace.

Use with an agent

Paste this prompt into Claude Code, Codex, Cursor or another agent — or into SourceWeft chat. The agent reads this server's install guide, shows you its publisher, endpoint and sign-in, and adds it to your client once you agree. Keys never go into a command.

Read https://sourceweft.com/mcp/com.capyinc%2Fcapy/install.md and connect the MCP server it describes to my client. Before changing any config, show me its publisher, endpoint and sign-in method and wait for my OK. Never put an API key in a command or in a file I would commit; ask me where it should come from.

Read the install guide the agent follows

Other MCP clients

Add this to your client's mcpServers config. The client completes OAuth sign-in on first connect.

[Capy's cap table: stakeholders, equity plans, fully diluted shares, and ownership]

Why Capy

We were Pulley customers too. We wanted a small, understandable product we could keep running, with code we could inspect and data we could export. So we built Capy.

This repository contains the web app, backend functions, equity calculations, import/export code, and deployment configuration. The hosted service at capyinc.com runs this application. Self-hosted installations do not require a Capy subscription.

What you can do

WorkflowIncluded
Bring your cap tablePreview a detailed Pulley Excel export before signup; review reconciliation and warnings before saving; import contacts separately.
Manage equityTrack stakeholders, shares, options, SAFEs, share classes, and equity plans. Record corrections, option exercises, and cancellations with activity history.
Understand ownershipReview fully diluted ownership, plan reserves, and supported monthly vesting schedules. Search, sort, and filter the cap table.
Model fundraisingCompare priced-round dilution with pre-money and post-money SAFEs, caps, and discounts; save scenarios.
Share with stakeholdersGive a stakeholder access to their own holdings through an invitation that can be claimed once and revoked.
Keep recordsStore documents and save approval, offer, and communication drafts.
Take your dataDownload the cap table as Excel and individual tables as CSV.
Use it from AI appsConnect Claude, ChatGPT, Cursor, or another AI app over MCP to read the cap table and draft changes for an admin to apply.

Current scope

Capy is a young project with a working hosted product. We publish the implementation, checks, and limitations so you can evaluate it yourself.

The current release does not send documents for signature, move money, file taxes, provide 409A appraisals, or automate legal-document generation. Open Cap Table Format export is on the roadmap; exports today are Excel and CSV. Email verification/password recovery delivery and administrator-team invitations are not yet implemented.

Read supported workflows and boundaries and the Pulley import guide before migrating a company.

Use Capy from your AI app

Add https://capyinc.com/mcp to Claude, ChatGPT, Cursor, VS Code or another MCP client, sign in, and choose which companies the app can see. The app can read your cap table and, if you allow it, draft grants, exercises, cancellations, stakeholder updates and board consents. Nothing changes until an admin applies the draft in Capy. See connecting AI apps.

Run locally

Requirements: Bun 1.3.14, Node.js 24, and your own Convex project. Stripe and Cloudflare credentials are not needed for local development.

sh
git clone https://github.com/zain/capy.gitcd capybun install --frozen-lockfilecp apps/web/.env.example apps/web/.env.localbun run dev:setup

Create or select your own Convex project. Once the CLI has written packages/backend/.env.local, use a second terminal from the repository root to configure its development environment:

sh
cd packages/backendbunx convex env set SITE_URL http://localhost:3001bunx convex env set BETTER_AUTH_SECRET "$(openssl rand -hex 32)"bunx convex env set CAPY_SELF_HOSTED truecd ../..

The setup command waits for a successful push; if it reports missing environment variables, leave it running while setting them. Copy the deployment's .convex.cloud and .convex.site URLs into apps/web/.env.local, then:

sh
bun run dev

Open localhost:3001, create an account, and import a workbook or create an empty company. See the development guide for the full environment reference and troubleshooting.

Checks

sh
bun run check # formatting, lint, production build, and TypeScriptbun run test # import/export, calculations, billing, and webhook testsbun audit # known dependency vulnerabilities

GitHub Actions runs these checks on pushes and pull requests, with a frozen lockfile and no production credentials. See CONTRIBUTING.md for the review and testing expectations.
